THESE ADVERTISER TERMS CONTAIN A BINDING ARBITRATION CLAUSE AND CLASS-ACTION WAIVER. BY USING LINQ PO'S ADVERTISING SERVICES, YOU AND MARCEL X PROPERTY GROUP LLC (DOING BUSINESS AS LINQ PO) AGREE THAT ALL DISPUTES WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS-ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. SEE THE ARBITRATION SECTION BELOW AND IN OUR TERMS OF SERVICE.
These Self-Serve Advertising Terms form a legally binding contract between you and MARCEL X PROPERTY GROUP LLC (doing business as Linq pO), a Florida limited liability company ("Company," "we," "us," or "our"), and govern your use of the Linq pO advertising platform to create, manage, and run advertising content, including ad campaigns and creative assets. These Self-Serve Advertising Terms are incorporated into and supplement our Terms of Service.
The Linq pO app is operated by MARCEL X PROPERTY GROUP LLC (doing business as Linq pO), located at 1404 E Los Olas Blvd #2061, Fort Lauderdale, FL 33303.
By registering for a Linq pO advertising account, you represent and warrant that:
a. If you submit content to run as an ad via Linq pO's advertising services, you grant to MARCEL X PROPERTY GROUP LLC and its affiliates a non-exclusive, worldwide, royalty-free, sublicensable license to use, copy, cache, store, reproduce, distribute, transmit, adapt, modify, publish, promote, exhibit, publicly display, and publicly perform the content you approve or make available via the advertising services, for the purpose of delivering, displaying, and promoting your advertisements.
b. To the extent permissible under applicable law, you irrevocably waive any moral rights or equivalent rights you may have in the advertising content throughout the world. To the extent a waiver is not permitted, you agree not to assert any such rights against MARCEL X PROPERTY GROUP LLC and its affiliates.
c. You retain ownership of your ad content. Linq pO does not claim ownership of your creative assets.
a. All advertising content must comply with these Advertiser Terms, the Advertising Policies (Part II below), and our Terms of Service and Community Guidelines.
b. If you submit content as an ad and Linq pO accepts the submission after admin review, Linq pO will deliver the ad as ad inventory becomes available. All ads are subject to our review and approval. We reserve the right to reject, pause, or remove any ad at our sole discretion for any reason, including in response to user feedback.
c. Linq pO may in its sole discretion apply a label or disclosure to advertising content, including to notify users that such content is an ad and is attributable to you.
d. Linq pO will determine the size, placement, and positioning of ads in its sole discretion, including which bubble sizes (large, medium) the ad appears in.
e. Linq pO does not guarantee ad performance, delivery, impressions, clicks, conversions, or that your ad will reach its targeted audience. Linq pO runs systems that attempt to detect fraudulent activity, but is not responsible for such activity or any technological issues that may affect cost or performance.
a. Linq pO is a 16+ platform. All ad content must be suitable for users age 16 and older.
b. Linq pO provides age targeting controls that allow you to set a minimum and/or maximum target age for your ad campaigns. If your ad content requires age targeting by applicable law or industry standards in the region where the ad will run, you are solely responsible for selecting the correct age range in the campaign creation tool. Linq pO will not be liable if you fail to set the correct age targeting.
c. Restricted-category ads (including but not limited to alcohol, gambling, financial products, and dating services) must be age-targeted to 18+ or the applicable legal age in the advertiser's jurisdiction.
d. Users under 18 will not be shown ads from restricted categories regardless of advertiser targeting settings. Linq pO enforces server-side age filtering based on user date of birth.
a. You agree to pay all fees associated with your advertising campaigns at the rates published on the Linq pO platform. All ads that run via the advertising services will be billed solely based on Linq pO's measurements unless stated otherwise.
b. If an order is subject to taxes, fees, or charges, Linq pO may bill you for those amounts in addition to the cost of the order, and you agree to pay at the rates in effect when incurred.
c. Campaign charges are based on Spawn allocations, pay-per-click (PPC), impressions, or other agreed-upon metrics as displayed in the campaign creation tool.
d. Linq pO reserves the right to pause campaigns with unpaid balances. Invalid traffic or fraud may result in billing adjustments or account termination.
THERE ARE NO REFUNDS FOR SPAWN CREDITS ONCE ANY AMOUNT OF THE PURCHASED SPAWNS HAS BEEN USED. Once you allocate Spawn credits to a campaign and any portion of those credits has been consumed (i.e., at least one Spawn impression has been delivered), the entire Spawn purchase is final and non-refundable.
a. Spawn credits are a virtual currency used within Linq pO's advertising system to purchase guaranteed bubble appearances ("Spawns") for your campaigns.
b. Unused Spawn credits remain in your account balance and may be applied to future campaigns.
c. If a campaign is cancelled or rejected by our admin team before any Spawns have been consumed, the allocated Spawn credits will be returned to your Spawn balance (not refunded to your original payment method).
d. Prepaid advertising balances are non-refundable except where required by applicable law.
a. You may cancel a campaign at any time via the Linq pO app, but that ad may continue to run for up to 24 hours after we receive notice of cancellation.
b. You are responsible for all charges incurred before cancellation takes effect, including any Spawn credits already consumed.
a. Linq pO provides reporting tools to track campaign performance via the Ads Hub. Metrics are provided "as is" without warranty of accuracy.
b. Linq pO is not liable for discrepancies in third-party tracking.
c. Advertisers are responsible for verifying campaign setup and targeting.
d. You acknowledge that users may interact with your advertising content in ways other than you anticipated, including sharing, dismissing, or reporting. Linq pO is not responsible for user-generated content that incorporates or references your advertising content.
a. You will post a privacy policy on your website or landing page that complies with applicable law, and you will adhere to that privacy policy at all times while these Advertiser Terms are in effect.
b. Any data or metrics provided to you through the advertising services ("Advertising Data") may only be used on an aggregated and anonymous basis for the purpose of planning, optimizing, and assessing the effectiveness of your campaigns.
c. You will not use Advertising Data to identify, profile, or target individual users, or combine Advertising Data with other data sources to re-identify individuals.
a. You warrant that you own or have all necessary rights, licenses, and permissions to use all content in your advertisements, and that none of your content infringes the intellectual property, privacy, publicity, or other legal rights of any person or entity.
b. You indemnify MARCEL X PROPERTY GROUP LLC against any and all claims arising from intellectual property infringement related to your ads.
c. Ads must not suggest an affiliation with or endorsement by Linq pO or MARCEL X PROPERTY GROUP LLC. Ads must not use any Linq pO-owned trademark, logo, or branding except as expressly permitted.
You agree to indemnify, defend, and hold harmless MARCEL X PROPERTY GROUP LLC, its officers, directors, members, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your advertising content or claims made therein; (b) your breach of these Advertiser Terms; (c) your violation of applicable laws or third-party rights; (d) your use of the Linq pO advertising platform; or (e) the actions of any individual with access to your advertising account.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARCEL X PROPERTY GROUP LLC'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE ADVERTISING SERVICES SHALL NOT EXCEED THE GREATER OF $500 USD AND THE AMOUNT YOU PAID LINQ PO FOR ADVERTISING SERVICES IN THE 12 MONTHS PRECEDING THE DATE OF THE ACTIVITY GIVING RISE TO THE CLAIM.
IN NO EVENT SHALL MARCEL X PROPERTY GROUP LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, BUSINESS INTERRUPTION, REDUCED ROI, CAMPAIGN PERFORMANCE, OR THIRD-PARTY CLAIMS RELATED TO YOUR ADVERTISEMENTS.
a. Linq pO may audit, suspend, or terminate advertising accounts that violate these terms or engage in suspicious activity.
b. We reserve the right to reject or pause ads at our sole discretion, including in response to user reports.
c. Repeated violations may result in permanent account termination.
d. Fraudulent accounts will be reported to authorities as required by law.
e. Termination is effective immediately. Upon termination, you lose all rights to use the advertising platform, but you remain liable for all outstanding charges.
All disputes arising out of or relating to these Advertiser Terms shall be resolved in accordance with the dispute resolution and arbitration provisions set forth in our Terms of Service, Section 9. The same arbitration agreement, class-action waiver, jury waiver, governing law, and exclusive venue provisions apply.
Linq pO is a social platform that empowers people to express themselves authentically, connect with their communities, and explore content that matters to them. We expect advertisers to be honest about their products, services, and content, to be respectful of our diverse community, and to never compromise our users' privacy or safety.
These Advertising Policies apply to all aspects of advertisements ("ads") served on Linq pO â including any creative elements, landing pages, destination URLs, and any other relevant components â and you are responsible for ensuring all ads comply.
Advertisers must also comply with our Terms of Service, Community Guidelines, and all other Linq pO policies. We may update our policies from time to time, so please review them regularly.
All ads are subject to our review and approval. We reserve the right to reject or remove any ad in our sole discretion for any reason, including in response to user feedback. We also reserve the right to request modifications or require factual substantiation for any claim in an ad. Linq pO may suspend or terminate accounts tied to businesses or individuals who violate these Advertising Policies.
All ads must be suitable for their selected audience in each geographic area where the ads will run. Linq pO is a 16+ platform. We will reject ads that are addressed to, or intended to appeal to, children under 16.
Ads must comply with all applicable laws, statutes, ordinances, rules, industry codes, regulations, and cultural sensitivities in each geographic area where the ads will run. Advertisers must set age targeting appropriately for their content category.
All required disclosures, disclaimers, and warnings in ads must be clear and conspicuous. Advertisers must be accurately and clearly identified in the ad.
Ads may not collect sensitive information or special category data, including information based on or including: (i) alleged or actual commission of a crime; (ii) health information; (iii) financial status, racial or ethnic origin, religious beliefs, sex life or sexual preferences, political opinions, or trade union membership.
The advertiser's privacy policy must be readily accessible where any personal information is collected. Personal information must be collected and processed securely. Ads that deceive users into providing personal information under false pretenses are prohibited.
Ads must not state or imply knowledge of personal data, sensitive information, online activity, or the precise whereabouts of a user.
Ads must not infringe the intellectual property, privacy, publicity, or other legal rights of any person or entity. Advertisers must have all necessary rights and permissions for all elements of their ads. The following is prohibited:
All ads must meet reasonable quality and editorial standards. We reject ads with landing pages that are:
Linq pO prohibits sexually explicit advertising content. Sexually suggestive content, if conditionally allowed, must be age-gated to 18+ (or the age of majority in the targeted location). Ads for dating services must be age-targeted to 18+ and may not be overtly sexual or reference transactional companionship.
All Gaming and Gambling Services advertisers must be pre-approved by Linq pO before running any ads. This includes online casinos, lotteries, daily fantasy sports, sweepstakes, gambling affiliates, and any product or service that asks users to pay to play games of chance to win prizes with real-world value.
Advertisers for Gaming and Gambling Services must:
Ads for certain financial products, including cryptocurrency trading platforms and complex financial instruments, require prior approval from Linq pO.
Ads for financial products and services must clearly and prominently disclose all applicable material terms and conditions. Ads for loans must disclose APR, repayment period, fees, costs, penalties, and the contact information of the lending institution.
We prohibit:
Ads for health-related products and services must only promote products approved by relevant local regulatory authorities. Ads must not contain over-exaggerated, unhealthy, or unrealistic claims.
Weight loss ads that reference weight loss must be targeted 18+. Weight loss supplements, fat burners, and appetite suppressants are not permitted. "Before and after" or side-by-side comparison images depicting weight loss are prohibited. Ads must not demean anyone on the basis of body shape or size.
Ads for movies, video games, and television shows must be age-targeted to the intended audience of the content being promoted.
Ads for dating services must be age-targeted to 18+. Ads must not be overtly sexual, reference transactional companionship, or depict individuals who appear too young to use the service.
Linq pO complies with the Digital Millennium Copyright Act (DMCA). If you believe your copyrighted work has been used in an advertisement without authorization, please send a DMCA notice to dmca@linqpo.com. See our Terms of Service, Section 7 for full DMCA procedures.
a. All ads that run via the advertising services will be billed by MARCEL X PROPERTY GROUP LLC solely on Linq pO's measurements unless stated otherwise.
b. If an order is subject to taxes, fees, or charges, Linq pO may charge you for those amounts in addition to the cost of the order ("Charges"). You agree to pay all Charges at the rates in effect when incurred.
a. If you elect to pay with a credit card, debit card, or other payment method made available through the Services, you authorize Linq pO or its third-party payment processor to charge that payment method for the Charges at Linq pO's convenience.
b. You authorize Linq pO and its payment processor to store your payment information. If Linq pO does not receive payment from your payment method, you remain obligated to pay for all orders delivered.
c. YOU ARE RESPONSIBLE FOR PAYING ALL AMOUNTS BILLED TO YOUR PAYMENT METHOD, WHETHER OR NOT AUTHORIZED BY YOU.
a. If you cancel a campaign before the order runs and no Spawns have been consumed, Linq pO will return Spawn credits to your account balance (not to your original payment method).
b. There are no refunds for Spawn credits once any portion has been used.
c. Refunds for non-Spawn charges, if applicable, may take 3-5 business days for funds to appear in your account.
d. The above constitutes your sole and exclusive remedy regarding refunds.
If your payment method fails or an invoice becomes past due, Linq pO may take steps to collect past due amounts and may terminate any current or future access to the advertising services. You will pay all reasonable costs and expenses (including reasonable attorneys' fees) incurred in collecting late payments.

Linq pO may modify these Advertiser Terms and Advertising Policies at any time. We will provide notice of material changes by posting the updated terms on the Services and updating the "Last Updated" date. Continued use of the advertising platform constitutes acceptance of the updated terms.
